1. Account terms

To access and use the Services you must register for a Krilos account. You must provide your full legal name, business address, phone number, a valid email address and any other information marked as required. Krilos Inc. may reject an application, or cancel an existing account, for any reason at its sole discretion.

You must be at least 18 years old, or the age of majority where you live, to open an account.

You are responsible for keeping your credentials secure. Krilos is not liable for loss or damage arising from your failure to protect your account.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any part of the Services without Krilos Inc.'s express written permission.

2. Store operators and patients

Krilos Inc. provides a software platform on which businesses ("Operators") launch and run branded telehealth stores. Krilos Inc. is not a healthcare provider and does not practise medicine. Any contract for care is between the patient, the Operator's store and the licensed clinician who treats the patient.

Operators are solely responsible for the services they offer through their store, including pricing, required legal disclosures and regulatory compliance, and must hold any licence or permit their operation requires.

3. Provider network and how care is delivered

Medical assessments, prescribing decisions and follow-up care on Krilos-powered stores are provided by independent, licensed clinicians contracted through Locum Tele (LocumTele, 5247 Wilson Mills Road, Suite 707, Richmond Heights, Ohio 44143), the provider network that serves Krilos-powered stores. Each clinician is licensed in the state where the patient is located at the time of care, holds an active NPI, and reviews every assessment personally. Krilos verifies licensure and identity before a clinician can review orders.

A clinician may approve, decline or ask for more information on any assessment. A prescription is issued only when the clinician determines that treatment is appropriate. Medication is dispensed and shipped by a licensed pharmacy chosen for the patient's state.

States served: Krilos-powered stores can take patients in all US states and the District of Columbia except Alaska and New Jersey. Krilos does not operate in Alaska or New Jersey.

4. Krilos rights

Not every Service or feature is available to every customer at every time, and we are under no obligation to make any Service available in any jurisdiction. Except where prohibited by these Terms or by law, we may modify the Services at any time.

Krilos Inc. does not pre-screen materials and may refuse or remove any materials from the Services at its sole discretion, including where the goods or services offered through a store violate these Terms.

We may provide the Services to your competitors and make no promise of exclusivity.

5. Fees and taxes

Operators pay the fees applicable to their Krilos plan and any other applicable fees. A valid payment method must be kept on file, and fees continue to be charged until the Services are terminated and all outstanding fees are paid. Fees exclude applicable taxes, which are the Operator's responsibility.

Patients pay the store they buy from, at the price shown at checkout. Refunds for patient purchases are handled by the store under its own refund policy.

6. Confidentiality

Each party will use the other party's confidential information only as necessary to perform its obligations under these Terms and will take reasonable steps to prevent its duplication, disclosure or misuse.

7. Limitation of liability and indemnification

To the extent permitted by law, Krilos Inc. and its suppliers are not liable for any indirect, incidental, special, consequential or exemplary damages, including loss of profits, goodwill, use or data, arising out of the use of or inability to use the Services or these Terms.

You agree to indemnify and hold Krilos Inc., its affiliates, officers, directors, agents, employees and suppliers harmless from any claim made by a third party arising out of your breach of these Terms, your violation of any law or the rights of a third party, or any aspect of a transaction between you and your customer.

The Services are provided on an "as is" and "as available" basis without any warranty or condition, express, implied or statutory. Krilos does not warrant that the Services will be uninterrupted, timely, secure or error-free.

8. Intellectual property and your materials

We do not claim ownership of the materials you provide, but you grant Krilos Inc. a non-exclusive, transferable, sub-licensable, royalty-free, worldwide licence to host, use, display, reproduce and modify them as needed to provide and promote the Services. You also grant Krilos Inc. the right to use your names, trademarks and logos to operate, provide and promote the Services.

9. SMS communications

Krilos Inc. sends SMS messages to patients and account holders who have explicitly opted in through a Krilos website form or during patient intake or checkout. Messages fall into two categories: (1) account and care messages, such as order and shipment status, check-in and re-verification requests, payment and billing notices and replies to your questions; and (2) marketing messages, only if you separately opted in.

Consent: by providing your phone number and actively checking the applicable opt-in box, which is unchecked by default, you consent to receive that category of messages. Marketing consent is separate and never required. Opt-in records, including timestamp, source and disclosure text, are stored electronically.

Age: SMS opt-in is available only to people aged 18 or over.

Frequency and rates: message frequency varies with your account, support and promotional activity. Message and data rates may apply.

Opt out and help: reply STOP to any message to opt out; you will receive one confirmation and no further messages. Reply HELP or contact sales@krilos.com for assistance.

Carrier disclaimer: mobile carriers are not liable for delayed or undelivered messages, and Krilos Inc. is not responsible for carrier errors or delays.

No sale of SMS data: Krilos Inc. does not sell, rent or share your phone number or SMS consent data with third parties or affiliates for marketing purposes. See our Privacy Policy.

10. Feedback

Ideas, suggestions and reviews you send to Krilos Inc. are not confidential and carry no expectation of compensation. Krilos Inc. may implement and use them without obtaining permission from you or any third party.

11. Copyright and intellectual property

Krilos Inc. respects intellectual property rights and asks its users to do the same. We respond to notices of alleged copyright infringement sent to sales@krilos.com, and may remove or disable access to the materials concerned. A user may reply with a counter notification.

12. Privacy and data protection

Krilos Inc. is committed to protecting your personal information and the personal information of your customers. Our collection, use and disclosure of that information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Term and termination

These Terms begin on the date you register and continue until terminated by you or by us. You may cancel your account at any time by contacting Krilos support and following the instructions we send you. We may suspend or terminate your account or these Terms for any reason, without notice, including suspected fraudulent activity. Termination does not affect rights or obligations that arose before it.

14. Modifications

We may update these Terms at any time. We will give reasonable advance notice of changes that materially and adversely affect your use of the Services or your rights, by email to your primary email address or similar means. Continued use after notice constitutes acceptance. If you do not agree, you must stop using the Services.

15. Governing law

These Terms are governed by and interpreted in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Wyoming for any dispute arising out of or in connection with these Terms.

16. General conditions

These Terms, including the documents they incorporate by reference, are the entire agreement between you and Krilos Inc. about the Services and supersede any prior agreements. If any provision is held unenforceable it will be changed and interpreted to best accomplish its original objective, and the remaining provisions remain in full force. Krilos Inc.'s failure to enforce any right or provision is not a waiver of it.
